General Terms and Conditions (GTC) of Kontinental Regional Oekologisch Klima d.o.o. 1. General Provisions 1.1 These General Terms and Conditions (GTC) apply to all business relationships between Kontinental Regional Oekologisch Klima d.o.o. (KroKlima d.o.o.), with its registered office in Zagreb (Croatia), c/o Kulić & Sperk d.o.o., Radnička cesta 52, 10000 Zagreb, and its customers as well as intermediaries (promoters). 1.2 Any deviating or conflicting terms and conditions of the customer or intermediary shall not be recognized unless KroKlima d.o.o. has expressly agreed to their validity in writing. 2. Business Areas and Services 2.1 KroKlima d.o.o. operates, among other things, in the following areas: Purchase and sale of real estate, particularly fully established tree plantations, Trading of raw materials, timber, planting materials, and agricultural products, Provision of technical and administrative services for companies and landowners. 2.2 KroKlima d.o.o. cooperates with independent intermediaries (promoters) who do not act as employees or legal representatives of KroKlima d.o.o. 3. Real Estate Transactions 3.1 A real estate purchase agreement is concluded through the signing of a preliminary contract. 3.2 After signing the preliminary contract, the buyer is required to make a down payment amounting to 50% of the purchase price. 3.3 The remaining purchase price becomes due upon notarization of the purchase agreement. 3.4 If the buyer withdraws from the purchase after signing the preliminary contract, half of the down payment (25% of the total purchase price) shall remain with KroKlima d.o.o. as compensation for expenses already incurred. 4. Trading of Raw Materials, Timber, Planting Materials and Agricultural Products 4.1 Offers are non-binding. A contract shall only become effective upon written confirmation by KroKlima d.o.o. 4.2 Delivery shall be made from the warehouse in Croatia unless otherwise agreed. 4.3 Prices are stated excluding statutory VAT and any applicable delivery costs. 5. Technical and Administrative Services 5.1 KroKlima d.o.o. provides consulting and administrative services, as well as technical services (contract work/manufacturing services), for landowners and companies. 5.2 The scope of services shall be individually defined by contract. 6. Cooperation with Intermediaries (Promoters) 6.1 Intermediaries (promoters) may only operate on the basis of a previously concluded cooperation agreement. 6.2 Promoters act independently and are not authorized to legally represent or bind KroKlima d.o.o. 6.3 Claims for commission arise only upon the successful completion of a transaction recognized by KroKlima d.o.o. 6.4 The amount of commission shall be determined according to the commission rates specified in the respective cooperation agreement. 6.5 If a customer withdraws from a transaction, the promoter shall not be entitled to any commission, regardless of any remaining down payment retained by KroKlima d.o.o. 7. Liability and Warranty 7.1 KroKlima d.o.o. shall only be liable in cases of intent and gross negligence. Any further liability, in particular for lost profits or indirect damages, is excluded. 7.2 In real estate transactions, the sale is carried out in its current condition, without warranty for specific characteristics, insofar as legally permissible. 7.3 Complaints must be submitted in writing within 14 days after receipt of the goods or completion of the service. 8. Payment Terms 8.1 Payments are due without deductions in accordance with the contractual agreements. 8.2 In the event of delayed payment, KroKlima d.o.o. reserves the right to charge statutory default interest. 9. Data Protection 9.1 KroKlima d.o.o. processes personal data in accordance with applicable data protection regulations. 9.2 Customer data will not be disclosed to third parties unless this is necessary for the performance of the contract. 10. Final Provisions 10.1 The laws of the Republic of Croatia shall apply. 10.2 The place of performance and jurisdiction shall be the registered office of KroKlima d.o.o. 10.3 Should individual provisions of these General Terms and Conditions be or become invalid, the validity of the remaining provisions shall remain unaffected.

1.1 Ovi Opći uvjeti poslovanja (OUP) primjenjuju se na sve poslovne odnose između tvrtke Kontinental Regional Oekologisch Klima d.o.o. (KroKlima d.o.o.), sa sjedištem u Zagrebu (Hrvatska), Kulić & Sperk d.o.o., Radnička cesta 52, 10000 Zagreb, i njezinih kupaca, kao i posrednika (promotora).

1.2 Odstupajući ili suprotni uvjeti kupaca ili posrednika ne priznaju se, osim ako je KroKlima d.o.o. izričito pismeno pristala na njihovu primjenu.

2.1 KroKlima d.o.o. djeluje, između ostalog, u sljedećim područjima: ● Kupnja i prodaja nekretnina, posebice unaprijed zasađenih plantaža stabala, ● Trgovina sirovinama, drvom, sadnim materijalom i poljoprivrednim proizvodima, ● Pružanje tehničkih i administrativnih usluga za poduzeća i vlasnike zemljišta. 2.2 KroKlima d.o.o. surađuje s neovisnim posrednicima (promotorima) koji ne djeluju kao zaposlenici ili zastupnici tvrtke KroKlima d.o.o.

3.1 Ugovor o kupoprodaji nekretnina sklapa se potpisivanjem predugovora.

3.2 Nakon potpisivanja predugovora kupac je dužan uplatiti predujam u iznosu od 50 % kupoprodajne cijene.

3.3 Preostali iznos kupoprodajne cijene dospijeva na plaćanje prilikom notarske ovjere kupoprodajnog ugovora.

3.4 Ako kupac odustane od kupnje nakon potpisivanja predugovora, polovica predujma (25 % ukupne kupoprodajne cijene) ostaje kao naknada za već nastale troškove kod KroKlima d.o.o.

4.1 Ponude su neobvezujuće. Ugovor se smatra sklopljenim tek nakon pismene potvrde od strane KroKlima d.o.o.

4.2 Isporuka se vrši iz skladišta u Hrvatskoj, osim ako nije drugačije dogovoreno.

4.3 Cijene su izražene bez PDV-a i mogućih troškova dostave.

5.1 KroKlima d.o.o. nudi savjetodavne i upravljačke usluge, kao i tehničke usluge (uslužne radove/proizvodnju) za vlasnike zemljišta i poduzeća.

5.2 Opseg usluga utvrđuje se pojedinačno ugovorom.

6.1 Posrednici (promotori) mogu poslovati isključivo na temelju prethodno sklopljenog ugovora o suradnji.

6.2 Promotori djeluju samostalno i nisu ovlašteni pravno obvezivati KroKlima d.o.o.

6.3 Pravo na proviziju nastaje samo u slučaju uspješnog zaključenja posla koji je priznat od strane KroKlima d.o.o.

6.4 Visina provizije određuje se prema ugovorenim provizijskim stopama u ugovoru o suradnji.

6.5 Ako kupac odustane od ugovora, promotori nemaju pravo na proviziju, neovisno o zadržanoj predujmovini.

7.1 KroKlima d.o.o. odgovara isključivo za namjeru i teški nemar. Daljnja odgovornost, posebice za izgubljenu dobit ili neizravne štete, isključena je.

7.2 Kod nekretninskih poslova prodaja se obavlja u zatečenom stanju, bez jamstva za određena svojstva, osim ako je zakonski drugačije propisano.

7.3 Reklamacije se moraju podnijeti pismeno u roku od 14 dana od primitka robe ili usluge.

8.1 Plaćanja su dospjela bez odbitaka u skladu s ugovornim odredbama.

8.2 U slučaju kašnjenja s plaćanjem, KroKlima d.o.o. zadržava pravo obračunati zakonske zatezne kamate.

9.1 KroKlima d.o.o. obrađuje osobne podatke u skladu s važećim propisima o zaštiti podataka.

9.2 Podaci kupaca neće se prosljeđivati trećim stranama, osim ako je to nužno za izvršenje ugovora.

10.1 Primjenjuje se pravo Republike Hrvatske.

10.2 Mjesto ispunjenja obveza i nadležni sud je sjedište KroKlima d.o.o. 10.3 Ako se neka odredba ovih OUP-a pokaže nevažećom, to ne utječe na valjanost ostalih odredbi.
